By accessing or using the service, you agree that you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the service and you must discontinue use immediately.

2. Service Description

Vendos Upstager provides AI-powered image enhancement and processing services for e-commerce product photography, specifically designed to integrate with Neto e-commerce platforms. Our services include:

• AI-powered image enhancement and background replacement
• Scene staging and product photography optimization
• Integration with Neto store catalogs
• Custom branding and preset management
• Credit-based pay-as-you-go processing

3. User Accounts

3.1 Account Registration

You must register for an account to use our services. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, illegal, or abusive behavior.

4. Payment and Billing

4.1 Credit System

Our service operates on a credit-based system. Credits are purchased in advance and consumed when processing images. Standard processing consumes 1 credit per image, while Pro model processing consumes 2 credits per image.

4.2 Pricing

All prices are listed in Australian Dollars (AUD) and are subject to change with reasonable notice. Current pricing is available on our billing page.

4.3 Payment Processing

Payments are processed securely through Stripe. By making a purchase, you agree to Stripe's terms of service.

4.4 Refunds

Credits are non-refundable once purchased. However, we may provide refunds at our discretion in cases of service failure, technical errors, or billing mistakes. Unused credits do not expire.

5. Acceptable Use Policy

You agree not to use the service for any unlawful purpose or in any way that could damage, disable, or impair our services. Prohibited activities include but are not limited to:

• Processing images containing illegal, harmful, or offensive content
• Attempting to reverse engineer, decompile, or extract our AI models
• Using automated systems to abuse our service or bypass credit requirements
• Violating intellectual property rights of others
• Sharing account credentials or reselling services without authorization
• Interfering with or disrupting the service or servers

6. Intellectual Property Rights

6.1 Your Content

You retain all rights to images you upload to our service. By uploading images, you grant us a limited license to process, store, and display them solely for the purpose of providing our services.

6.2 Processed Images

You own the rights to images processed through our service, subject to our intellectual property rights in the underlying AI models and technology.

6.3 Our Technology

All rights, title, and interest in the Vendos Upstager platform, including our AI models, algorithms, software, and technology, are and will remain our exclusive property.

7. Data and Privacy

Your use of our service is also governed by our Privacy Policy. We collect, use, and protect your data as described in our Privacy Policy.

8. Neto API Integration

When you connect your Neto store, you authorize us to access your store's product catalog and images through the Neto API. You are responsible for:

• Ensuring your Neto API credentials are valid and properly configured
• Maintaining compliance with Neto's terms of service
• Having the necessary rights to process images from your store

9. Disclaimers and Limitations

9.1 Service Availability

We strive for high availability but do not guarantee uninterrupted access. The service is provided "as is" and "as available" without warranties of any kind.

9.2 AI-Generated Content

While our AI models are highly accurate, we do not guarantee perfect results. You are responsible for reviewing and approving all processed images before use.

9.3 Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or platform notification. Continued use of the service after changes constitutes acceptance of the new Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of Australia. Any disputes arising from these Terms or use of the service shall be subject to the exclusive jurisdiction of the courts of Australia.
